The Role
Working closely with the Corporate team, you will provide hands-on support across a range of corporate transactions from initial instruction through to completion.
Your responsibilities will include:
- Supporting lawyers on corporate and M&A transactions, including preparing, organising and managing transaction documentation.
- Setting up and managing electronic data rooms, liaising with clients and other professional advisers to collate and review relevant documentation.
- Assisting with legal due diligence exercises.
- Managing company administration and post-completion matters, including Companies House filings, PSC registers and statutory company registers.
- Preparing completion bibles and maintaining transaction records.
- Drafting board minutes, shareholder resolutions and straightforward corporate agreements.
- Assisting with disclosure exercises on sale-side transactions.
- Collating conditions precedent on finance transactions.
- Supporting company incorporations and associated start-up administration.
- Assisting with corporate restructurings, group reorganisations and other corporate projects.
- Carrying out legal and corporate research as required.
- Maintaining transaction trackers, action lists and key dates.
- Coordinating document execution, including through electronic signing platforms such as DocuSign.
- Supporting the wider Corporate team with general matter management and transactional requirements.
- Maintaining accurate and timely time recording.
The successful candidate is likely to have relevant office-based experience within a Corporate, Corporate/M&A or transactional legal team.
You will ideally have:
- Previous experience supporting corporate or M&A transactions within a law firm or similar professional environment.
- Strong attention to detail and excellent organisational skills.
- Excellent written and verbal communication skills, with the confidence to interact professionally with clients and other advisers.
- Strong proofreading and drafting ability.
- Experience with electronic signing platforms such as DocuSign.
- The ability to manage multiple priorities and competing deadlines within a busy transactional environment.
- A proactive, flexible and solutions-focused approach.
- The ability to follow instructions while also working independently and taking ownership of tasks.
- Strong legal research skills.
- Good working knowledge of Microsoft Word and Excel.
- A high level of discretion and professionalism when handling confidential and commercially sensitive information.
